1. Introduction & Agreement

Welcome to BODIES. BODIES is registered in the United Kingdom and is a trading name of BODIES CLO LTD, registered number 14309248, whose registered office is at 84 Vaughan Way, LE1 4SN. These Terms of Service (“Terms”) govern your access to and use of the BODIES website, hardware, platform, and any related services (collectively, the “Service”). By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Tipping & Payments Policy. If you do not agree to these Terms, you may not use the Service.

2. The Service

BODIES provides a platform for users to store, manage, and control their personal and professional information (“User Content”). This information may include personal profile information, company information, social media links, and other confidential information, which may include sensitive personal data such as health or medical information.

3. User Accounts & Remote Deactivation

• Eligibility: You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create an account.
• Accuracy: You agree to provide true, accurate, and complete information when creating your account and to update it as necessary.
• Security: You are solely responsible for maintaining the confidentiality of your account login credentials. You must notify us immediately of any unauthorised use of your account.
• Account & Hardware Control (The Kill Switch): BODIES and its authorised enterprise administrators reserve the right to remotely deactivate, suspend, or wipe access to any BODIES profile instantly. This applies if a tag is reported lost or stolen, an employee is terminated, or an account violates these Terms.

4. User Responsibilities & Acceptable Use

You are solely responsible for all User Content you upload, post, or share.

• Your Consents: You represent and warrant that you have all necessary rights, permissions, and consents to upload and use your User Content.
• Legal Compliance: You agree to comply with all applicable laws and regulations in connection with your use of the Service.
• Prohibited Actions: You agree not to upload illegal or harmful information, impersonate others, transmit malware, or attempt to gain unauthorised access to our systems.

5. Data Privacy and Security

Your privacy is critically important to us. Our collection, use, and protection of your personal data are described in our separate Privacy Policy. We implement commercially reasonable technical and organisational security measures to protect your User Content. However, no system is 100% secure, and we cannot guarantee that unauthorised third parties will never be able to defeat our security measures.

6. Special Warning: Health & Medical Information

Storing sensitive health information carries significant legal obligations and risks.

• No HIPAA Compliance: You acknowledge that the Service may NOT be compliant with specific health information laws like the U.S. Health Insurance Portability and Accountability Act (HIPAA). If you are a “Covered Entity,” you may not use this Service to store “Protected Health Information” unless you have entered into a legally-binding Business Associate Agreement with us.
• Your Responsibility: You are solely responsible for determining if the Service is appropriate for your intended use and for complying with all laws applicable to the health data you upload.

7. Intellectual Property

• Your Content: You retain all ownership rights to the User Content you upload.
• Our Service: BODIES CLO LTD owns all rights, title, and interest in the Service itself, including our website, branding, logos, and platform technology.
• License to Us: You grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, reproduce, and display your User Content solely to operate the Service.

8. Disclaimers of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BODIES CLO LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, USE, OR GOODWILL RESULTING FROM YOUR USE OF THE SERVICE, UNAUTHORISED ACCESS TO YOUR ACCOUNT, OR ANY BREACH OF SECURITY. OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) £100.

10. Termination

• By You: You may stop using the Service and delete your account at any time.
• By Us: We may suspend or terminate your access to the Service at any time, with or without cause, if we believe you have violated these Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any dispute.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
